The Company under the name “EKTER TECHNICAL – CONSTRUCTION – REAL ESTATE – HOTEL – COMMERCIAL – INDUSTRIAL SOCIETE ANONYME” (the “Company”) announces that on 31\/12\/2024 the trading of its four million three hundred and seventy-eight thousand six hundred and eighty-two (4.378.682) new ordinary registered shares on the Athens Stock Exchange, resulting from the increase of its share capital due to the merger by acquisition of the company named “ENERGEIAKOS KOMVOS ANONYMI ENERGEIAKI – ANAPTYXIAKI – EPENDYTIKI ETAIREIA ” (the “Acquired Company”) shall commence.<\/p>\n

As of the same date, the opening price of the Company’s shares on ATHEX will be determined in\u00a0accordance with the Athens Stock Exchange Regulation in conjunction with decision No. 26 of the\u00a0ATHEX Board of Directors, as applicable.<\/p>\n

The new shares resulting from the merger will be credited, based on the approved exchange ratio, to\u00a0the Shareholders’ units and securities accounts in the Dematerialised Securities System (DSS) on the\u00a0date of trading commencement.<\/p>\n

It is noted that the exchange ratio for the shareholders of the merging companies is as follows: each\u00a0shareholder of the Acquired Company will exchange one (1) share held by him\/her for 8.6415 new\u00a0ordinary registered shares of the Company, of a nominal value of twenty-six euro cents (\u20ac0,26) each.<\/p>\n

Following the merger, which was approved by the Ministry of Development by its decision no.\u00a03509153A\u03a0\/09.12.2024, the Company’s share capital now amounts to six million nine hundred and\u00a0eighty-eight thousand four hundred and fifty-seven euros and thirty-two cents (6.988.457,32\u20ac) and is\u00a0divided into twenty-six million eight hundred and seventy-eight thousand six hundred and eighty-two\u00a0(26.878.682) ordinary registered shares with a nominal value of twenty-six euro cents (\u20ac0,26) each.<\/p>\n

On 23\/12\/2024, \u0391\u03a4\u0397\u0395\u03a7 approved the listing of four million three hundred and seventy-eight thousand\u00a0six hundred and eighty-two (4.378.682) new ordinary registered shares for trading on \u0391\u03a4\u0397\u0395\u03a7.<\/p>\n

In accordance with Delegated Regulation (EU) 2021\/528 supplementing Regulation (EU) 2017\/1129, an\u00a0Exemption Document has been prepared and contains all the information provided for in the said\u00a0Regulation. The Exemption Document does not constitute a bulletin within the meaning of Regulation\u00a0(EU) 2017\/1129, has not been subject to review and approval by the Hellenic Capital Market\u00a0Commission pursuant to Article 20 of Regulation (EU) 2017\/1129 and is available to investors as of\u00a017\/12\/2024, in printed form, upon request, at the Company’s offices in Athens, at 15, Nikis Street, P.C.\u00a010557. A copy of the Exemption Document is also posted on the Company’s website\u00a0https:\/\/www.ekter.gr\/<\/a> and on the Athens Stock Exchange website at the ATHEX address:\u00a0https:\/\/www.athexgroup.gr\/el\/<\/a>.<\/p>\n
