{"id":5127,"date":"2007-07-02T00:00:00","date_gmt":"2007-07-01T21:00:00","guid":{"rendered":"https:\/\/ekter.pigdev.gr\/resolutions-passed-by-the-general-assembly-01\/"},"modified":"2026-04-07T18:13:18","modified_gmt":"2026-04-07T15:13:18","slug":"resolutions-passed-by-the-general-assembly-01","status":"publish","type":"post","link":"https:\/\/ekter.gr\/en\/resolutions-passed-by-the-general-assembly-01\/","title":{"rendered":"Resolutions passed by the general assembly"},"content":{"rendered":"<p>EKTER S.A.: Announcement on the Resolutions of the General Assembly<\/p>\n<div class=\"news_content\">\n<div class=\"news_info\">\n<p>According to article 278 of the Regulation of the Athens Stock Exchange, EKTER S.A. hereby announces that the Annual Ordinary General Assembly of its Shareholders took place at the company\u2019s headquarters on 29\/06\/2007. The Ordinary General Assembly was attended by 9 shareholders who promptly committed 4,825,595 shares corresponding to 42.89% of the company\u2019s share capital. Also present was a shareholder who, after the said deadline, committed 142,000 shares corresponding to 1.26% of the company\u2019s share capital; however, the General Assembly unanimously decided to allow the said shareholder to attend the assembly.<br \/>\nA total of 10 shareholders attended the assembly, who held 4,967,595 shares corresponding to 44.15% of the company\u2019s share capital. The Ordinary General Assembly unanimously passed the following resolutions on the following items of the agenda:<\/p>\n<ul>\n<li>Approved the Annual Financial Statements for fiscal year 01\/01\/2006 &#8211; 31\/12\/2006, the report prepared by the Board of Directors and the audit report prepared by the Chartered Auditor-Accountant.<\/li>\n<li>Approved the distribution of a dividend equal to Euro 0.04 per company share from the profits made during fiscal year 2006. Beneficiaries of the above dividend are the holders of the Company\u2019s shares at the closing of the Athens Stock Exchange on 1 August 2007. Starting from 2 August 2007, the Company\u2019s shares will be traded on the Athens Stock Exchange without the right for dividend for fiscal year 2006. Dividend payment for fiscal year 2006 will start on 10 August 2007 through PIRAEUS BANK.<\/li>\n<li>Approved the relief of the members of the BoD and of the Chartered Auditor-Accountant of any liability in respect with the 2006 fiscal year.<\/li>\n<li>Approved the fees and all kinds of remunerations paid to the members of the BoD during the past fiscal year, 2006, and gave its preliminary approval for the fees and remunerations to be paid to the members of the BoD for this current fiscal year, 2007, while at the same time authorizing the BoD to increase such fees up to double the current amounts.<\/li>\n<\/ul>\n<p>Approved the selection of the chartered auditors\u2019 firm BDO \u2013 STANDARD GREEK AUDITORS S.A. to audit its 2007 financial statements.<\/p>\n<\/div>\n<\/div>\n<p>&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>EKTER S.A.: Announcement on the Resolutions of the General Assembly According to article 278 of the Regulation of the Athens Stock Exchange, EKTER S.A. hereby announces that the Annual Ordinary General Assembly of its Shareholders took place at the company\u2019s headquarters on 29\/06\/2007.
