Ioannis Tsitsilonis and Konstantinos Krassas, and Mses. Vasiliki Krokou and Fotini Bousiou as Independent Non-Executive Members, all of whom meet the independence criteria set out in Article 9 of Law 4706\/2020.<\/p>\n<p>The new Board of Directors convened on May 29, 2026 and was constituted as follows:<\/p>\n<ol>\n<li>Athanasios Sipsas \u2013 Chairman of the Board of Directors \/ Executive Member<\/li>\n<li>Konstantinos Sipsas Bouzas \u2013 Chief Executive Officer \/ Executive Member<\/li>\n<li>Apostolos Bakogiannis \u2013 General Technical Director of the Company \/ Executive Member<\/li>\n<li>Georgios Goukos \u2013 Deputy General Technical Director of the Company \/ Executive Member<\/li>\n<li>Maria Tsiobanou \u2013 Authorized Executive Director, Director of the Company\u2019s Thessaloniki Branch \/ Executive Member<\/li>\n<li>Alexios Pilavios \u2013 Vice Chairman of the Board of Directors \/ Non-Executive Member<\/li>\n<li>Androniki Ioannidou \u2013 Non-Executive Member<\/li>\n<li>Georgios Pliatsikas \u2013 Non-Executive Member<\/li>\n<li>Vasiliki Krokou \u2013 Independent Non-Executive Member<\/li>\n<li>Konstantinos Krassas \u2013 Independent Non-Executive Member<\/li>\n<li>Ioannis Tsitsilonis \u2013 Independent Non-Executive Member<\/li>\n<li>Fotini Bousiou \u2013 Independent Non-Executive Member<\/li>\n<\/ol>\n<p>The term of office of the above Board of Directors is five (5) years and expires on May 29, 2031, and may be automatically extended until the date of the Annual General Meeting of the Company to be held in 2031.<\/p>\n<p>The General Meeting also resolved to establish a three-member Audit Committee, with a five-year term of office equal to that of the Board of Directors, consisting exclusively of members of the Board of Directors (two Independent Non-Executive Members and one Non-Executive Member).Following the designation of its members by the Board of Directors, the new Audit Committee convened on May 29, 2026 and was constituted as follows:<\/p>\n<ul>\n<li>Ioannis Tsitsilonis \u2013 Independent Non-Executive Member of the Board of Directors, Chairman of the Audit Committee<\/li>\n<li>Vasiliki Krokou \u2013 Independent Non-Executive Member of the Board of Directors, Member of the Audit Committee<\/li>\n<li>Androniki Ioannidou \u2013 Non-Executive Member of the Board of Directors, Member of the Audit Committee<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>The Annual General Meeting of the shareholders held on May 29, 2026 elected, in accordance with the provisions of Law 4548\/2018 and Law 4706\/2020, a new twelve-member Board of Directors and designated Messrs.
