EKTER S.A., in accordance with the provisions of Law 3556/2007 and the implementing decisions issued thereunder by the Board of Directors of the Hellenic Capital Market Commission, as in force, further to the TR-1 notification forms received on 27.07.2026, informs the investing public that:
The company POLYKRATIS S.A., a legal entity connected to Mr. Athanasios Sipsas, shareholder and Chairman of the Board of Directors/executive member of the Company (a person subject to the notification requirement, discharging managerial responsibilities, pursuant to Article 19 of Regulation (EU) No 596/2014), fell below the 5% threshold of voting rights in the Company. Specifically, the direct percentage held by POLYKRATIS S.A. was set at 0% of the total voting rights in the Company, corresponding to 1,622,880 direct voting rights in the Company.
The change is due to a sale by POLYKRATIS S.A., through a placement to institutional investors, of 1,622,880 ordinary registered shares of the Company, for a total consideration of €8,144,400.00, which took place on 24.07.2026.
Prior to the above change, POLYKRATIS S.A. held directly 1,622,880 voting rights (a percentage of 5.853% of total voting rights).
As a consequence of the above change, a decrease occurred in the indirect percentage participation of Mr. Athanasios Sipsas in the voting rights of the Company. Specifically, Mr. Athanasios Sipsas, shareholder and Chairman of the Board of Directors/executive member of the Company (a person subject to the notification requirement, discharging managerial responsibilities, pursuant to Article 19 of Regulation (EU) No 596/2014), who holds a percentage of voting rights greater than 20%, effected a change in voting rights greater than 5%. Specifically, the total percentage of voting rights he holds in the Company fell below the 25% threshold. His percentage was set at 21.167% of total voting rights in the Company, corresponding to 3,510,856 direct voting rights (a percentage of 12.661% of total voting rights in the Company) and 2,358,600 indirect voting rights (a percentage of 8.506% of total voting rights in the Company).
Prior to the above changes, Mr. Athanasios Sipsas held 27.02% of voting rights, arising from 3,510,856 direct voting rights (a percentage of 12.661% of total voting rights) and 3,981,480 indirect voting rights (a percentage of 14.36% of total voting rights).
