EKTER S.A., in accordance with the provisions of Law 3556/2007 and the implementing decisions issued by the Board of Directors of the Hellenic Capital Market Commission, as in force, further to the TR-1 notification forms received on 13.02.2026, informs the investment community that:
POLYKRATIS S.A., a legal entity affiliated with Mr. Athanasios Sipsas, shareholder and Chairman of the Board of Directors / executive member of the Company (person subject to notification obligations, discharging managerial responsibilities, pursuant to Article 19 of Regulation (EU) No 596/2014), has fallen below the 10% threshold of voting rights in the Company. Specifically, the direct holding of POLYKRATIS S.A. amounts to 5.853% of the total voting rights in the Company, corresponding to 1,622,880 direct voting rights.The change resulted from the sale by POLYKRATIS S.A., through a placement to institutional investors, of 1,700,000 ordinary registered shares of the Company, for a total consideration of €6,460,000.00, which took place on 12.02.2026. Prior to the above change, POLYKRATIS S.A. directly held 3,322,880 voting rights, representing 11.98% of the total voting rights.As a consequence of the above transaction, there was also a reduction in the indirect participation percentage of Mr. Athanasios Sipsas in the voting rights of the Company. Specifically, Mr. Athanasios Sipsas, shareholder and Chairman of the Board of Directors / executive member of the Company (person subject to notification obligations, discharging managerial responsibilities pursuant to Article 19 of Regulation (EU) No 596/2014), who holds more than 10% of the voting rights, proceeded to a change in voting rights exceeding 3%. His total holding now amounts to 27.02% of the total voting rights in the Company, corresponding to 3,510,856 direct voting rights, representing 12.66% of the total voting rights, and 3,981,480 indirect voting rights, representing 14.36% of the total voting rights.Prior to the above changes, Mr. Athanasios Sipsas held 3,510,856 direct voting rights, representing 12.66% of the total voting rights, and 5,681,480 indirect voting rights, representing 20.49% of the total voting rights.
